This Licensing Agreement ("Agreement") is made between pyShip, represented by Zacharie Rahman (contact: zach@pyship.co), and you, the user ("Licensee"), concerning the use of the pyShip coding boilerplate (the "Product") available at https://pyship.co/ (the "Website"). By downloading, accessing, or using the Product, Licensee agrees to comply with the terms and conditions of this Agreement.
1. License Grant 1.1 Personal LicenseUnder this Agreement, pyShip grants Licensee a non-exclusive, non-transferable, and non-sublicensable Personal License to use the pyShip coding boilerplate for the following purposes:
- Create unlimited projects.
- Develop applications or websites for personal or commercial use.
1.2 Team LicenseUnder this Agreement, pyShip grants Licensee a non-exclusive, non-transferable, and non-sublicensable Team License to use the pyShip coding boilerplate for the following purposes:
- Create unlimited projects.
- Develop applications or websites as part of a team.
- Share the code with other team members.
2. Usage RestrictionsLicensee shall not:
- Modify, adapt, reverse engineer, decompile, disassemble, or create derivative works based on the pyShip boilerplate.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the pyShip boilerplate.
- Use the pyShip boilerplate in any manner that violates applicable laws, regulations, or third-party rights.
- Sub-license, rent, lease, or transfer the pyShip boilerplate or any rights granted under this Agreement.
3. Ownership and Intellectual PropertypyShip retains all ownership and intellectual property rights in the pyShip boilerplate. This Agreement does not transfer any ownership rights to the Licensee.
4. Warranty DisclaimerTHE PYSHIP BOILERPLATE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
5. Limitation of LiabilityTO THE EXTENT PERMITTED BY APPLICABLE LAW, PYSHIP SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OR INABILITY TO USE THE PYSHIP BOILERPLATE, EVEN IF PYSHIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6. Governing Law and JurisdictionThis Agreement shall be governed by and interpreted in accordance with the laws of the United States, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in Singapore.
7. Entire AgreementThis Agreement represents the complete agreement between Licensee and pyShip regarding the subject matter and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
